Welcome to Docuit, a platform operated by DocumateIT, Inc. ("Docuit," "DocumateIT," "we," "our," or "us"). These Terms of Service govern your access to and use of our website, application, desktop software, and related services (collectively, the "Services").

By accessing, downloading, installing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the Desktop Application License Terms (EULA) and our Privacy Policy. If you do not agree, do not access or use the Services.

User Consent & Acknowledgment

By using the Services, you confirm that:

• You are at least 18 years old and legally capable of entering into this agreement.
• If you use the Services on behalf of an organization, you are authorized to accept these Terms on its behalf.
• Your use constitutes explicit consent to the data-collection and processing practices described herein and in our Privacy Policy.
• Continued use after any update constitutes acceptance of the revised Terms.

Modifications to Terms

We may modify these Terms at any time. Updated versions will appear on our website with a revised Effective Date. Continued use after updates signifies acceptance of the new Terms.

License to Use (General)

DocumateIT, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business or personal purposes, in accordance with these Terms.

Restrictions

You may not:

• Copy, modify, distribute, sell, lease, or sublicense any part of the Services.
• Reverse engineer or attempt to extract source code.
• Use the Services for unlawful, harmful, or unauthorized purposes.
• Circumvent or disable any security or usage controls.

Intellectual Property

All software, code, design, workflows, documentation, and branding provided through Docuit are the exclusive property of DocumateIT, Inc. and protected by U.S. and international intellectual-property laws. Unauthorized use may result in civil or criminal liability.

"Docuit," "DocumateIT," and related logos or slogans are trademarks of DocumateIT, Inc.

Privacy Policy

Use of the Services is governed by our Privacy Policy, which explains how we collect, process, and protect information. By using Docuit, you consent to those practices, including the limited screen-capture data collection described in Section 14.3.

Data Capture and Consent Disclosure

The Docuit desktop application may capture portions of your screen, application windows, or browser content to generate automated documentation. We employ best-effort exclusion filters to avoid capturing communication tools, email clients, or personal websites; however, no system can guarantee full exclusion.

By installing or using the Software, you expressly consent to this limited capture and acknowledge that:

• You control operating-system permissions for screen-recording or accessibility features.
• You will not use Docuit in contexts where inadvertent capture of confidential or restricted information would violate policy or law.
• You are solely responsible for reviewing and managing captured content.

Misuse, Abuse, and Account Suspension

We reserve the right, at our sole discretion, to suspend, restrict, or terminate any account or access to the Services if we determine that a user has violated these Terms or any applicable law, misused the Software in a manner that could harm others, attempted to interfere with or disrupt the Services, or used Docuit for purposes inconsistent with its intended function.

DocumateIT, Inc. may disable access immediately and, where necessary, cooperate with law-enforcement or regulatory authorities. No refunds will be issued for accounts terminated due to misuse or policy violations.

Data Storage and Transfers

Data processed by Docuit is stored on secure servers located within the United States. DocumateIT, Inc. does not transfer user data internationally. By using the Services, you consent to this U.S.-based processing and storage.

We apply commercially reasonable safeguards but cannot guarantee absolute security; you use the Services at your own risk.

Disclaimers

The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uptime.

AI-powered features may generate imperfect or incomplete outputs; you must verify results before relying on them.

Limitation of Liability

To the fullest extent permitted by law, DocumateIT, Inc. shall not be liable for indirect, incidental, special, or consequential damages, loss of data, revenue, or profits, or any damage arising from use or inability to use the Services.

Total aggregate liability shall not exceed the amount you paid for the Services in the preceding 12 months.

Indemnification

You agree to indemnify and hold harmless DocumateIT, Inc., its affiliates, officers, and employees from any claims, damages, or expenses arising out of your use or misuse of the Services, violation of these Terms, or infringement of third-party rights.

Third-Party Services

The Services may integrate with third-party platforms (e.g., Google, Microsoft, AWS, OpenAI). Your use of those services is governed by their own terms. DocumateIT, Inc. is not responsible for third-party performance or data handling.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, cyberattacks, outages, war, or governmental actions.

Desktop Application License Terms (EULA)

14.1 Grant of License

You receive a non-transferable, non-exclusive license to install and use the Docuit desktop software for legitimate internal purposes only.

14.2 Restrictions

You may not reverse engineer, modify, redistribute, or sublicense the Software.

14.3 Data Collection

Depending on your operating system, the Software may capture screenshots or screen-area recordings, mouse or keyboard events, and application metadata and usage activity. On macOS, explicit system permissions are required. On Windows, consent is obtained through these Terms and the Privacy Policy.

14.4 User Responsibility

You acknowledge that exclusion filters operate on a best-effort basis and may not detect all personal or sensitive contexts. You agree to review captured materials and avoid using the Software in prohibited environments.

14.5 Warranty Disclaimer

The Software is provided without warranties of any kind.

14.6 Limitation of Liability

DocumateIT, Inc. shall not be liable for any consequential or incidental damages.

14.7 Termination

This license terminates automatically if you violate these terms. Upon termination, uninstall and cease all use immediately.

14.8 Governing Law

This EULA is governed by the laws of the State of Delaware, USA.

Dispute Resolution and Arbitration

Any dispute arising under or relating to these Terms shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules in Delaware, USA. Each party bears its own costs. You waive any right to a jury trial or class action.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any referenced agreements, constitute the entire understanding between you and DocumateIT, Inc. regarding the Services.
